TERMS OF SERVICE

Baker’s Base operates solely as an intermediary digital marketplace connecting independent bakers (“Users”) with business and consumer buyers (“Customers”). The platform does not manufacture, endorse, guarantee, or assume liability for any transactions, interactions, or agreements between Users and Customers.

Agreement to Terms.

You agree to these terms by creating an account or accessing or using Bakers Base with or without an account. If you do not agree with these terms, you do not have the right to use our Services.

Our Service.

(a) Bakers Base provides business services that enable registered users (“Users”) to offer and sell their products and/or services (“Offerings”) to individuals who wish to inquire about or purchase such Offerings (“Customers”). Bakers Base does not manufacture, prepare, sell, or supply any Offerings, and shall not be deemed a party to any transaction, agreement, or arrangement entered into between Users and Customers. All such transactions are conducted solely between Users and Customers.

(b) While Users are required to comply with all applicable local, state, federal, and international laws, Bakers Base does not conduct background checks, nor does it vet or verify the identity, integrity, safety standards, or trustworthiness of Users utilizing our Services. Bakers Base makes no representations or warranties regarding the quality, safety, or suitability of any Offerings provided by Users, nor does it guarantee the ability of Customers to make payment for such Offerings.

Users and Customers are strongly encouraged to exercise caution, sound judgment, and due diligence in all interactions and transactions with other parties, including, but not limited to, other Users and Customers, when using our Services.

(c) While using our Services, you may encounter materials that you consider offensive or inappropriate, Bakers Base makes no representations regarding the content posted by Users or Customers through our Services. Bakers Base is not responsible for the accuracy, legality, copyright compliance, or decency of any content accessed through our Services. By using the Services, you agree to release Bakers Base from any and all liability and to hold us harmless with respect to any content posted by Users or Customers.

(d) To the fullest extent permitted by law, Bakers Base disclaims any liability arising out of or in connection with the quality, safety, legality, delivery, or fitness for purpose of any Offerings, as well as any disputes, claims, or damages between Users and Customers. Users are solely responsible for their Offerings and for compliance with all applicable laws, regulations, and industry standards.

(e) You acknowledge and agree that both Users and Customers act as independent parties, solely responsible for their own actions, decisions, and use of resources. Bakers Base shall have no liability or responsibility for any risks, expenses, or consequences arising from the actions, omissions, or decisions of Users or Customers while using the Services.

(f) You agree to comply with all applicable local, state, federal, and international laws, regulations, and rules in connection with your use of our Services. Users are solely responsible for obtaining any necessary permits, licenses, or approvals required to ensure compliance with such laws.

Subscriptions.

(a) Access to Services
Users will have access to the Bakers Base portal only while their subscription remains active. Access to the portal may be offered at a discounted rate for a limited period of time in connection with promotional offers. Once the promotional period ends, the subscription fee will automatically revert to the then-current standard rate.

(b) Subscription Term and Billing Cycle
Bakers Base subscriptions are offered on a monthly basis. You will be billed in advance on a recurring and periodic basis (the “Billing Cycle”). Billing cycles are set on a monthly basis. At the end of each Billing Cycle, your subscription will automatically renew under the same terms and conditions unless cancelled by you or by Bakers Base.

(c) Payment Information
A valid payment method (such as a credit card, debit card, or PayPal) is required to process subscription payments. You agree to provide Bakers Base with accurate, current, and complete billing information, including your full name, billing address, postal code, telephone number, and a valid payment method. By submitting such payment information, you authorise Bakers Base to charge all subscription fees incurred through your account to the designated payment method.

(d) Authorisation
By maintaining a subscription, you expressly authorise Bakers Base to process recurring payments using the payment method provided, until such time as you cancel your subscription or Bakers Base terminates it in accordance with these Terms.

(e) Cancellation by user.

You may cancel your subscription at any time by contacting Bakers Base support. Cancellation will take effect at the end of your current Billing Cycle, and you will continue to have access to the Services until that date. Subscription fees already paid are non-refundable, and Bakers Base does not provide partial or prorated refunds for unused portions of a Billing Cycle.

(d) Automatic Renewal

If you do not cancel your subscription before the end of the Billing Cycle, your subscription will automatically renew under the same terms, and your designated payment method will be charged accordingly. Refunds cannot be claimed for any partial-month subscription period.

(e) Termination by Bakers Base

Bakers Base reserves the right to suspend or terminate your subscription and access to the Services, at its sole discretion, if:

You fail to provide a valid payment method, or your payment is declined;
You breach these Terms or any applicable law or regulation;
Continued provision of the Services to you is no longer commercially viable for Bakers Base

In such cases, Bakers Base will serve notice where reasonably possible.

(f) Refunds

Except where required by applicable law, all subscription fees are non-refundable. Certain refund requests may be considered by Bakers Base on a case-by-case basis, and any decision to issue a refund shall be made at the sole discretion of Bakers Base.

(g) Effect of termination

Upon cancellation or termination of your subscription, all provisions of these Terms that, by their nature, should reasonably survive termination (including, but not limited to, ownership provisions, warranty disclaimers, indemnity, and limitations of liability) shall survive.

(h) Price changes

Bakers Base reserves the right to modify subscription fees at its sole discretion. Any change in subscription fees will take effect at the start of the next Billing Cycle following notice of such change. Bakers Base will provide you with reasonable prior notice of any change in fees to give you the opportunity to cancel your subscription before the change becomes effective. Continued use of the Services after a fee change constitutes your agreement to pay the revised subscription fees.

Provision of Services and Payment Terms

(a). Our obligation to provide access to the Services arises only upon receipt of your subscription payment. Following confirmation of payment, you will be sent an email confirming your access to the subscription purchased.

(b). All prices are stated in U.S. Dollars (USD), Euros (EUR), or Pound Sterling (GBP). Prices in USD and EUR include applicable local taxes. Prices in GBP include VAT unless otherwise specified.

(c). You acknowledge and agree that Bakers Base is not responsible for any banking charges, transaction fees, or other costs incurred in connection with payments made on your account. If payment is not successfully received from the payment method you have provided, you remain responsible for any outstanding amounts and agree to pay all amounts due upon demand by Bakers Base.

(d). Definition – “Unsecured Payments” shall mean any transactions conducted outside of the Bakers Base Services. This includes, without limitation, payments made in cash, by check, or through third-party payment platforms or processors not integrated with our Services (e.g., Venmo, CashApp, etc.).

(e). You acknowledge and agree that any payments or transactions conducted outside of the Bakers Base Services (“Unsecured Payments”) are made entirely at your own risk. Bakers Base does not facilitate, monitor, collect, process, or refund Unsecured Payments and shall not be held responsible or liable for any disputes, losses, fraud, or damages arising from such transactions.

(f). You acknowledge and agree that all payments for Offerings are transactions solely between Users and Customers. Bakers Base is not a party to any such transactions and does not hold, process, or control funds exchanged between Users and Customers. As such, Bakers Base bears no responsibility or liability for the processing of payments, the non-payment of funds, or the issuance of refunds. Any requests, disputes, or issues relating to payments or refunds must be resolved directly between the User and the Customer.

Using Our Services

(a). To access and use the Services, Users are required to register and maintain a valid account (“Account”). When creating an Account, you agree to provide accurate, current, and complete information and to update such information as necessary to ensure it remains accurate and complete.

(b). You are solely responsible for maintaining the confidentiality and security of your Account credentials, including your username and password, and for restricting access to your Account. You accept full responsibility for all activities and actions that occur under your Account, whether authorized by you or not.

(c). You agree to notify Bakers Base immediately of any unauthorized use of your Account or any other breach of security. Bakers Base shall not be liable for any loss or damage arising from your failure to comply with these obligations.

(d). Your Account is personal to you and may not be sold, transferred, assigned, or shared with any other person or entity. Any attempt to do so may result in suspension or termination of your access to the Services.

User Specific Terms

(a) You agree that all Offerings made available for sale through the Services will be personally created and/or provided by you. You are solely responsible for all costs and expenses associated with the creation, preparation, and, where applicable, delivery of such Offerings. This includes, without limitation, any supplies, equipment, ingredients, or other resources required in connection with your Offerings and your use of the Services.

(b) You further represent and warrant that all Offerings will comply with all applicable local, state, federal, and international laws and regulations, including, but not limited to, food safety, health, labelling, quality standards and health and safety inspections. You are solely responsible for obtaining and maintaining any permits, licenses, or certifications necessary to create, prepare, and deliver your Offerings.

(c) To the fullest extent permitted by law, Bakers Base shall not be liable for any loss, damage, claim, or liability arising from or relating to the Offerings, including any failure to comply with applicable laws, any harm caused to Customers, or any disputes between Users and Customers. You agree to indemnify and hold Bakers Base harmless from any such claims, damages, or liabilities. You also agree that creating an Account does not in any way mean or imply that Bakers Base has vetted or verified your compliance with any such regulations and/or laws.

(d) By using the Services, you acknowledge and agree that certain products and services are strictly prohibited on the Bakers Base platform. Specifically, you may not list, create, sell, or provide any Offerings that contain alcohol, cannabidiol (CBD), or any other controlled substances. You are solely responsible for ensuring that all Offerings comply with this restriction and all applicable laws and regulations. Bakers Base reserves the right to remove any Offerings that violate this policy and may suspend or terminate your account for repeated or serious violations. To the fullest extent permitted by law, Bakers Base shall not be liable for any claims, losses, or damages arising from prohibited Offerings provided by Users or any violations of this policy.

(e) By using the Services, you acknowledge and agree that you are obligated to honour and fulfil all confirmed orders placed through the Bakers Base platform. This obligation includes, without limitation, providing the specific type and quality of Offerings as advertised, honouring the stated price of such Offerings, and ensuring fulfilment at the confirmed date, time, and place agreed upon with the Customers. You are solely responsible for the accuracy of your Offerings and for fulfilling all confirmed orders in good faith. Any disputes, claims, or complaints arising from unfulfilled, delayed, or misrepresented orders shall be your sole responsibility. To the fullest extent permitted by law, Bakers Base disclaims all liability for any loss, damage, or claims arising from your failure to meet these commitments.

You agree to indemnify and hold Bakers Base harmless from any disputes or claims brought by Customers in connection with unfulfilled or misrepresented orders. Failure to uphold these commitments may result in suspension or termination of your Account and/or access to the Services, at the sole discretion of Bakers Base.

(f) You agree that Bakers Base has no duty or obligation to pay you in monies.

(g) You acknowledge and agree that you are solely responsible for the payment of any and all applicable taxes arising from your use of the Services. This responsibility includes, without limitation, sales tax, value-added tax (VAT), goods and services tax (GST), and/or income tax on any fees paid or amounts received by you in connection with orders conducted through Bakers Base.

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Bakers Base, its affiliates, officers, employees, and agents from and against any claims, liabilities, penalties, damages, or expenses (including reasonable legal fees) arising out of or relating to your failure to comply with applicable tax obligations.

(h) You agree that customer reviews are independent and transparent. Any dispute on the authenticity of the review may be appealed. Baker Base has the discretion to uphold or reject the appeal considering the evidence provided. The review will be deleted if Bakers Base decides to uphold the appeal. Bakers Base will not be responsible for any customer review that may be detrimental to your business irrespective of the appeal decision.

Customers Specific Terms.

(a) You acknowledge and agree that Users offering their products or services through the Services are not subject to background checks by Bakers Base and are not vetted, screened, or otherwise verified by Us for compliance with any applicable regulations or laws. You further acknowledge and agree that Bakers Base does not evaluate, verify, or guarantee the baking abilities, qualifications, or standards of any User.

(b) You acknowledge and agree that all information regarding User Offerings is provided solely by the User and not by Bakers Base. Such information may include, without limitation, images, descriptions, ingredients, allergens, dietary tags, and any representations regarding quality. Bakers Base does not independently verify, monitor, or guarantee the accuracy, completeness, or reliability of any such information.

You further acknowledge and agree that food-related Offerings may be created and/or prepared in residential kitchens, using equipment and facilities that may also be used to prepare items containing allergens. As a result, Bakers Base does not guarantee that any Offering will be free from allergens, even where an allergen is identified as absent. Customers are solely responsible for assessing the suitability of any Offering for their individual dietary needs and restrictions.

To the fullest extent permitted by law, you release Bakers Base, its affiliates, officers, employees, and agents from any and all liability, claims, damages, or losses, whether direct or indirect, arising out of or related to the consumption or use of any Offerings, including but not limited to issues relating to allergens, food safety, or dietary restrictions.

Accurate Information – You must provide complete and accurate information when placing an order, including but not limited to your name, contact details, delivery address, and any special instructions.
Timely Payment – You are responsible for ensuring that payment for all confirmed orders is made in full and on time, using an accepted payment method through the Services.
Respectful Conduct – You agree to engage respectfully with Users and Bakers Base staff, and not to engage in abusive, fraudulent, or unlawful conduct.
Acceptance of Commitments – Once an order is confirmed, you are bound by the agreed price, date, time, and place for delivery or collection, subject to the User’s fulfilment of their obligations.
Compliance with Laws – You are responsible for ensuring that any Offerings purchased are lawful for you to receive, possess, or consume in your jurisdiction (e.g., food safety, dietary restrictions, or age requirements, where applicable).

(d) Right to Cancel or Refuse Orders – Users reserve the right to refuse or cancel any order where Customers fail to meet their obligations under these Terms, including but not limited to providing inaccurate information, non-payment, suspected fraud, or engaging in abusive or unlawful behaviour. In such cases, Bakers Base shall not be liable for any resulting loss, damage, or inconvenience.

To the fullest extent permitted by law, Bakers Base shall not be liable for any disputes, claims, or damages arising from your failure to meet these responsibilities.

(e) You acknowledge and agree that it is solely your responsibility to ensure the safety, handling, and proper use of all Offerings purchased through Bakers Base. This includes, without limitation, monitoring and maintaining appropriate conditions, such as food temperature for perishable items, to preserve quality and safety.

To the fullest extent permitted by law, Bakers Base shall not be liable for any loss, damage, illness, or injury arising from your handling, use, or consumption of any Offerings purchased through the Services. You agree to assume all risks associated with such Offerings.

(f) You acknowledge and agree that Bakers Base shall not be responsible or liable for any health issues, illness, or any other loss or damage, including, without limitation, financial loss or bodily injury, arising from or relating to any Offerings purchased or transacted through the Services.

Furthermore, Bakers Base makes no representations regarding the accuracy, completeness, or reliability of any information provided, displayed, or communicated by Users on the platform, and you agree that your reliance on such information is at your own risk.

(g) You acknowledge and agree that Users offering products or services through Bakers Base may, at their sole discretion, refuse to accept or fulfil any order, request, or service for any reason. Bakers Base shall not be held responsible or liable for any refusal of service by User.

(h) You acknowledge that Bakers Base does not bear any responsibility for order shipping and delivery. This platform only facilitates the customers in tracking their orders. Any dispute in order shipping and delivery is to be settled directly between the Customer and the Baker.

Third Party Services and Integrations

The Services may integrate or allow you to connect with third-party platforms and providers, including but not limited to WhatsApp, Stripe, and PayPal (“Third-Party Services”). Such integrations are provided on an “AS IS” and “AS AVAILABLE” basis. Bakers Base makes no representations or warranties of any kind, express or implied, regarding the availability, accuracy, reliability, or security of Third-Party Services.

You acknowledge and agree that Bakers Base has no control over, and shall bear no responsibility or liability for, any acts, omissions, policies, terms, or practices of such Third-Party Services, including but not limited to their handling of data, payment processing, communications, or service availability. Your use of any Third-Party Services is solely at your own risk and is governed by the applicable terms and conditions of those third parties.

Content

(a). For purposes of these Terms, “Content” refers to any information, text, graphics, images, videos, or other material that may be uploaded, posted, linked, stored, shared, or otherwise made available through the Services. Users are solely responsible for any Content they provide or make available on the Services, including ensuring its legality, accuracy, reliability, appropriateness, and compliance with all applicable laws and regulations.

By submitting or making Content available through the Services, you grant Bakers Base a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, host, store, reproduce, modify, display, publish, and distribute such Content for the limited purpose of operating, promoting, and improving the Services. Bakers Base does not claim ownership of your Content, and you retain all rights to your Content not expressly granted under these Terms.

Bakers Base reserves the right, but has no obligation, to review, monitor, remove, or restrict access to any Content at its sole discretion if it believes such Content violates these Terms, infringes on intellectual property rights, is unlawful, misleading, abusive, offensive, harmful, or otherwise inappropriate. Users acknowledge and agree that Bakers Base shall not be liable for any actions taken in good faith to moderate or remove Content.

You acknowledge and agree that all Content made available through the Services is the sole responsibility of the User providing it. Bakers Base does not endorse, verify, or guarantee the accuracy, reliability, or quality of any Content, and any reliance on such Content is at your own risk.

(b). User Content Representations & Warranties – By uploading, posting, or otherwise making Content available through the Services, you represent and warrant that:

Ownership & Rights – You own or otherwise have all necessary rights, licenses, consents, and permissions to use, share, and authorise Bakers Base to use the Content as described in these Terms.
No Infringement – Your Content does not and will not infringe, misappropriate, or violate any third party’s intellectual property rights, privacy rights, publicity rights, or other legal rights.
Compliance with Law – Your Content complies with all applicable local, state, federal, and international laws, rules, and regulations.
No Harmful Material – Your Content does not contain material that is unlawful, misleading, defamatory, obscene, abusive, offensive, hateful, or otherwise inappropriate, nor does it contain viruses, malware, or other harmful code.
Accuracy – All information contained in your Content is true, accurate, and not misleading to the best of your knowledge.

You acknowledge and agree that you are solely responsible for any Content you provide, and you will indemnify, defend, and hold harmless Bakers Base from and against any claims, damages, liabilities, costs, or expenses arising from or related to your Content or any breach of the above warranties.

(c). Prohibited Content – Users are strictly prohibited from posting, uploading, sharing, or otherwise making available through the Services any Content that:

Illegal or Unlawful – Violates any applicable local, state, federal, or international law or regulation.
Infringing – Infringes, misappropriates, or violates any third party’s intellectual property rights, privacy rights, or publicity rights.
Harmful or Malicious – Contains viruses, malware, spyware, or other harmful code or technologies intended to disrupt, damage, or gain unauthorised access to systems, data, or personal information.
Offensive or Abusive – Is defamatory, obscene, pornographic, harassing, abusive, hateful, discriminatory, violent, or otherwise objectionable.
Misleading or Fraudulent – Contains false, deceptive, or misleading claims, including misrepresentations of products, services, pricing, or qualifications.
Dangerous or Unsafe – Promotes or encourages unsafe practices, harm, or violence, including but not limited to unsafe food preparation or storage practices.
Restricted Goods – Includes or promotes the sale of prohibited items such as alcohol, drugs, controlled substances, cannabidiol (CBD), tobacco, weapons, or other restricted goods.
Spam or Unauthorised Promotions – Involves unsolicited advertising, spam, pyramid schemes, or other forms of unauthorized commercial solicitation.

Bakers Base reserves the right, at its sole discretion, to remove, restrict, or disable access to any Content that violates these Terms or that it otherwise deems inappropriate, without prior notice.

Termination and Suspension of Accounts.

Bakers Base reserves the right, at its sole discretion, to suspend, restrict, or terminate any User Account, with or without prior notice, if Bakers Base determines that a User has:

Violated these Terms, including but not limited to posting or sharing Prohibited Content;
Engaged in fraudulent, illegal, or harmful activities through the Services;
Misused the Services in a manner that adversely affects other Users, Customers, or Bakers Base; or
Failed to pay any required fees or charges in connection with their subscription.

Upon suspension or termination, Users will lose access to their Account and any associated Content or data made available through the Services. Bakers Base shall not be liable to the User or any third party for any loss of access, Content, or business resulting from such suspension or termination.

Users may also terminate their Account at any time by contacting Bakers Base and following the applicable account closure procedures. However, termination by the User does not relieve them of any outstanding payment obligations or responsibilities incurred prior to termination.

Acceptable Use Policy (AUP)

In case you are using PayPal, you agree to accept the PayPal AUP stated here.

Survival

Notwithstanding termination or suspension of an Account, the following provisions shall continue in full force and effect: Payment and Tax Obligations, Intellectual Property Rights, Disclaimers, Limitation of Liability, Indemnification, Governing Law, and any other provisions which, by their nature, are intended to survive termination.

Indemnification

You agree to defend, indemnify, and hold harmless Bakers Base, its affiliates, officers, directors, employees, agents, and representatives from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to:

Your Offerings – including but not limited to their preparation, sale, safety, labelling, description, delivery, or compliance with applicable laws and regulations;
Your Content – including but not limited to claims regarding its accuracy, legality, appropriateness, or infringement of third-party rights;
Your Use of the Services – including misuse of features, integrations, or any actions conducted through your Account;
Your Violation of These Terms – including breach of warranties, representations, or obligations under these Terms;
Your Violation of Any Law or Rights of a Third Party – including consumer protection, health and safety, intellectual property, or data privacy laws.

This indemnification obligation will survive termination or suspension of your Account and your use of the Services.

Limitation of Liability

To the maximum extent permitted by applicable law, Bakers Base and its affiliates, officers, directors, employees, agents, and representatives shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of goodwill, data loss, business interruption, or other intangible losses, arising out of or related to your use of or inability to use the Services, regardless of the cause of action (whether in contract, tort, negligence, warranty, or otherwise), even if Bakers Base has been advised of the possibility of such damages.

In no event shall Bakers Base’s total liability to you for all claims arising out of or relating to the Services exceed the total amount of subscription fees paid by you to Bakers Base in the three (3) months immediately preceding the claim.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages. In such jurisdictions, Bakers Base’s liability shall be limited to the greatest extent permitted by law.
